- Order fulfillment and processing
- Shipping and delivery services

- Inventory management
- Custom logistics solutions
3. Service Agreement and Registration
To use our services, you must:
- Be at least 18 years old and legally able to enter contracts
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Accept responsibility for all activities under your account
4. Acceptable Use
You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:
- Ship prohibited, illegal, or dangerous items
- Violate any applicable laws or regulations
- Interfere with or disrupt our services
- Use our services for fraudulent activities
- Reverse engineer or attempt to extract source code
5. Pricing and Payment Terms
5.1 Pricing
Our pricing is based on the specific services required and may include:
- Storage fees based on space utilized
- Pick and pack fees per order
- Shipping costs based on carrier rates
- Additional service fees as applicable
5.2 Payment Terms
- Invoices are issued monthly and due within 30 days
- Late payments may incur additional charges
- We reserve the right to suspend services for non-payment
- All fees are non-refundable unless otherwise specified
6. Service Level Commitments
We commit to:
- 99.8% order accuracy rate
- Same-day order processing for orders received before 2 PM
- Real-time inventory reporting
- 24/7 system availability (99.9% uptime)
7. Liability and Insurance
7.1 Our Liability
Our liability is limited to:
- The value of goods in our care, custody, and control
- Direct damages caused by our negligence
- Maximum liability of £100,000 per incident
7.2 Insurance Coverage
We maintain comprehensive insurance including:
- Warehouse legal liability insurance
- Goods in transit coverage
- Professional indemnity insurance
- Public liability insurance
8. Customer Responsibilities
You are responsible for:
- Providing accurate product information and descriptions
- Ensuring products comply with all applicable regulations
- Maintaining adequate insurance on your inventory
- Providing timely instructions for order fulfillment
- Compliance with shipping restrictions and regulations
9. Intellectual Property
You retain ownership of your products and related intellectual property. We retain ownership of our systems, processes, and proprietary technologies. You grant us a limited license to use your trademarks and product information solely for fulfillment purposes.
10. Data Protection and Confidentiality
We will:
- Protect your confidential information
- Comply with applicable data protection laws
- Use your data only for service provision
- Implement appropriate security measures
11. Termination
11.1 Termination by Customer
You may terminate this agreement with 30 days' written notice. Upon termination, you must:
- Pay all outstanding fees
- Arrange for removal of your inventory
- Settle any pending orders
11.2 Termination by Company
We may terminate this agreement immediately for:
- Non-payment of fees
- Breach of these Terms
- Illegal or prohibited activities
12. Force Majeure
Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, strikes, government actions, or other force majeure events.
13. Dispute Resolution
Any disputes shall be resolved through:
- Good faith negotiations
- Mediation if negotiations fail
- Arbitration under English law if mediation fails
14. Governing Law
These Terms are governed by the laws of England and Wales. Any legal proceedings shall be subject to the exclusive jurisdiction of the English courts.
15. Amendments
We may update these Terms from time to time. We will provide notice of material changes and continued use of our services constitutes acceptance of the updated Terms.
16. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
